A$4m Capital Raising to Drive DST and AI Robotics Programs
Monday, 7 September 2026 – Robotic technology company FBR Limited (ASX: FBR) (“FBR” or “the Company”)
announces that it has received firm commitments to raise A$1,500,000, before costs of the raising, via a placement
of approximately 13 million shares at a price of A$0.115 per share (“Placement”).
In addition, FBR intends to invite eligible shareholders of the Company to subscribe for new fully paid ordinary shares
in the capital of the Company (“New Shares”) via a share purchase plan to raise up to A$2,500,000 (“SPP”) at an
issue price equal to the lower of A$0.115 (the issue price under the Placement) and a 2.5% discount to the 5-trading
day volume weighted average price of FBR shares (“VWAP”) immediately prior to the closing date of the SPP,
rounded down to the nearest 0.1 cent (subject to satisfying the price restrictions in Exception 5 of Listing Rule 7.2),
with the Company reserving the right to accept oversubscriptions subject to compliance with the Listing Rules and
Corporations Act 2001 (Cth) (“Corporations Act”). It is intended that the SPP will be fully underwritten.
Proceeds after costs from the Placement and SPP will provide additional funding to complete Factory Acceptance
Testing, commercial demonstrations and further development of the Mantis™ welding robot for additional
applications; advance the commercialisation and deployment of the Hadrian® platform; repay short-term debt
facilities and provide additional general working capital.
The above is a statement of current intentions as at the date of this announcement. As with any budget, intervening
events and new circumstances have the potential to affect the manner in which the funds are ultimately applied.
Therefore, the Board reserves the right to alter the way the funds are applied.
FBR’s CEO, Mark Pivac commented:
“This capital raise positions FBR to commercialise our DST® (Dynamic Stabilisation Technology®) and large-scale
robotic solutions such as Mantis™ and Hadrian®. Significantly we will demonstrate Mantis™ to large potential global
customers including shipyards, heavy fabricators, mining and defence suppliers before the first Mantis™ is deployed
to the USA following an upcoming Factory Acceptance Test. Our team has made great progress with the
commissioning and early demonstration of Mantis™ and its high deposition twin wire welding.
I eagerly anticipate the deployment of Hadrian® onto Western Australian building sites to verify the commercial
modelling that indicates sound economic prospects. The Australian housing market continues to be in a long-term
supply crisis with shortages of critical trades that Hadrian® can help to solve.

DST® enables large scale robotics to do accurate tasks. By using DST® combined with physical AI and AI robot
programming, FBR is able to create and deploy large-scale robotic solutions to some of the most pressing problems
across industries including construction, welding and steel making, where severe labour shortages are being strongly
felt and bottlenecking output. There are many potential applications for DST® and I look forward to commercialising
them. FBR is now well positioned with developed products ready for sale and production, and a pipeline of future
products driven by industry demand for large scale DST® enabled robotics.
I am also pleased to confirm that FBR’s CEO and COO intend to participate in the SPP.”
